Department: Digikala Group Location: Tehran Work Type: Full - time seniority: Expert Required Experience: Between 5 to 8 years Job Summary: The Legal Manager is responsible for providing expert legal counsel and support related to investment activities and portfolio management within Digikala Group. This position plays a key role in advising on legal matters pertaining to investments, mergers and acquisitions, divestitures, joint ventures, and strategic partnerships. The Manager will collaborate closely with the Legal Chief Officer and other stakeholders to ensure compliance with legal requirements, mitigate risks, and support the achievement of Digikala Group's strategic objectives. Key Responsibilities: Provide legal advice and support on investment transactions, including due diligence, negotiation, and documentation. Assess legal risks and opportunities associated with potential investments and recommend appropriate strategies. Draft, review, and negotiate investment agreements, term sheets, various types of contracts, memorandum, legal letters, resolutions and other legal documents including notices, warnings, revocation/termination, declarations etc (bilingual). Pro-active participation in the assigned projects; Oversee legal aspects of Digikala Group's portfolio companies, including corporate governance, regulatory compliance, and contractual obligations. Conduct legal analysis and risk assessments for potential M&A opportunities, identifying key legal issues and proposing solutions. Coordinate with external legal counsel and internal stakeholders throughout the M&A process. Advise on legal matters related to joint ventures, strategic partnerships, and collaborative agreements. Develop and implement policies and procedures to ensure compliance with applicable laws, regulations, and industry standards. Conduct legal research and analysis to support compliance efforts and mitigate legal risks. Qualifications: Master degree from an accredited law school Lawyer’s (Bar) Association License is a plus Fluent in English and drafting bilingual documents Have good computer skills and knowledge of common programs such as Microsoft Office Minimum of 3 years of experience practicing law, with a focus on investments, mergers and acquisitions, and corporate transactions. Ability to work within deadlines, result-driven and able to deliver desired results under pressure. Strong understanding of corporate law, securities regulations, and contract law. Excellent communication, negotiation, and interpersonal skills. Ability to work collaboratively in a dynamic, fast-paced environment. Strategic thinking and problem-solving abilities.
